Welcome to Ameribrights, an educational platform operated by Ameribrights, LLC, an Alabama limited liability company (“Ameribrights,” “we,” “us,” or “our”). For purposes of these Terms, “Ameribrights” includes Ameribrights, LLC and, to the extent applicable, its affiliates, parent companies, subsidiaries, and each of their successors and assigns. These Terms of Use and the Privacy Policy (www.ameribrights.com/privacy-policy) (together, the “Terms”) constitute a legally binding agreement between You (defined herein) and Ameribrights. By accessing or using any Content (defined herein), you acknowledge and agree to these Terms and agree to be bound by and act in accordance with them. These Terms set forth the conditions for your access to and use of the Content. These Terms are effective as of the date you accept them or otherwise agree by accessing or using the Content. 

PLEASE READ THE TERMS CAREFULLY.  THESE TERMS CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING A REQUIREMENT THAT DISPUTES BETWEEN YOU AND AMERIBRIGHTS BE RESOLVED THROUGH ARBITRATION ON AN INDIVIDUAL BASIS AND A CLASS ACTION WAIVER.

1. Changes to Terms

Ameribrights reserves the right to change or modify the terms and conditions contained in these Terms, including any policy and guideline connected to our Content (as defined herein), at any time at our discretion. The “Last Updated” date at the top shows when the Terms were last revised. Unless we state otherwise, changes are effective when posted on the Website. Your continued use of the Content after that date means you agree to the updated Terms. If you do not agree with the changed terms, you must stop using our Content. For material changes to these Terms, Ameribrights may provide additional notice, including by email to the address associated with your account or by a prominent notice on the Website.

2. Definitions

For purposes of these Terms, the following definitions apply:

“Content” means all Products, Services, and other materials, functionality, and features made available by or through Ameribrights, including the Website itself, and without limitation all text, documents, articles, blog posts, written materials, images, graphics, audio, video, software, code, tools, calculators, interactive features, workflows, downloads, and other materials, whether accessed through the Website or otherwise provided to Users. Content is made available only when and to the extent expressly provided by Ameribrights, and Ameribrights reserves the right to modify, suspend, or discontinue any Content at any time, with or without notice.

“Feedback” means a subset of User-Generated Content consisting of non-substantive input regarding the Content or potential features, including suggestions, ideas, comments, observations, evaluations, reviews, and testimonials.

“Products” means educational materials, tools, goods, or resources offered or made available by Ameribrights, whether in digital or physical form, including without limitation, books, study guides, maps, written materials, audio content, video content, calculators, interactive tools, bundled materials, updates, replacements, or similar resources, whether offered now or in the future.

“Services” means any services, features, tools, access-based offerings, beta features, assistance, or other functionalities that Ameribrights may make available from time to time, whether through the Website, through other channels authorized by Ameribrights, pursuant to a separate written agreement, or otherwise, and whether offered for a fee or at no charge.

“Submissions” means a subset of User-Generated Content consisting of substantive materials voluntarily provided by a User, such as written responses, practice materials, documents, files, or other similar content.

“User-Generated Content” means any content or materials voluntarily submitted, uploaded, or otherwise provided by a User to Ameribrights, by any means. User-Generated Content includes, without limitation, Feedback and Submissions.

“User” or “You” means any individual or entity that accesses, browses, purchases from, or otherwise uses the Content. 

“Website” means the Ameribrights website located at https://www.ameribrights.com, including all associated pages, subdomains, and functionality.

“Payment Provider” means any third-party payment processor, payment network, digital wallet provider, digital asset payment processor, or buy-now-pay-later provider used to process payments in connection with the Content. 

3. Eligibility

By accessing or using any Content, you represent and warrant that:

  • You are at least thirteen (13) years of age; 
  • You have the legal capacity and authority to enter into these Terms;
  • Your access to and use of the Content will comply with all applicable laws, rules, and regulations; 
  • You are accessing the Content for lawful, non-competitive purposes; and
  • You have not been previously suspended or terminated from accessing or using the Content by Ameribrights.

If you access or use the Content on behalf of a legal entity, organization, or institution, you represent and warrant that you have full authority to bind that entity to these Terms.

If you are an individual authorized to access or use the Content pursuant to a separate written agreement between Ameribrights and an educational institution or other organization (including, but not limited to, a statement of work or license agreement), you remain subject to and bound by these Terms in your individual capacity.

Any such institutional agreement governs solely the commercial relationship between Ameribrights and the institution and does not make individual users third-party beneficiaries of that agreement, unless expressly stated otherwise in writing.

Ameribrights reserves the right to refuse access to the Content to any person or entity at any time, in its sole discretion.

4. Children Under 13

The Content is not intended for children under the age of thirteen (13). Ameribrights does not knowingly target or market its Content to children under the age of thirteen (13). Ameribrights does not knowingly collect personal information from children under the age of thirteen (13).

By accessing or using the Content, you represent and warrant that you are at least thirteen (13) years of age. If you are under the age of thirteen (13), you may not access or use the Content.

If Ameribrights becomes aware that personal information has been collected from a child under the age of thirteen (13) without verifiable parental consent, Ameribrights will take commercially reasonable steps to delete such information.

5. Refusal of Service; Suspension; Termination

Ameribrights reserves the right, in its sole discretion, to refuse service, suspend access to, or terminate your access to the Content, in whole or in part, at any time and without notice.

Without limiting the foregoing, Ameribrights may take such action if we determine or reasonably suspect that you have:

  • Violated these Terms or any applicable law;
  • Engaged in unauthorized use, sharing, redistribution, or exploitation of the Content;
  • Used or attempted to use the Content for competitive, benchmarking, derivative, or prohibited AI or automated purposes;
  • Initiated improper chargebacks, payment reversals, or payment disputes;
  • Misrepresented your identity, authority, or eligibility;
  • Interfered with the operation, security, or integrity of the Content or our business; or
  • Otherwise engaged in conduct that poses a legal, commercial, or reputational risk to Ameribrights.

If your access is suspended or terminated, your right to use the Content will immediately cease. Termination or suspension does not relieve you of any obligations accrued prior to such action, including payment obligations, restrictions on use, or provisions that by their nature survive termination.

If you access or use the Content pursuant to a separate written agreement between Ameribrights and an educational institution or other organization, Ameribrights may suspend or terminate your individual access if you violate these Terms, regardless of whether the institutional agreement remains in effect.

Ameribrights is not liable for any loss, damages, or consequences resulting from any refusal of service, suspension, or termination permitted under these Terms.

6. Access to Content and Account Responsibility 

6.1 Access and Delivery of Digital Content 

Access to digital Content, including digital Products such as books, study guides, maps, bundled materials, and other downloadable or viewable materials, is provided electronically. Delivery may occur through download links, email delivery, account-based access, or other access methods made available by Ameribrights. Instructions for accessing such Content are provided at or after the time of purchase.

You are responsible for providing accurate and complete contact and account information, including a single valid email address associated with your purchase. Ameribrights is not responsible for delivery failures, access issues, or delays resulting from incorrect, incomplete, outdated, or inaccessible information provided by you.

Access to Content is provided solely to the email address and account information submitted at the time of purchase. Ameribrights does not provide duplicate access, reissue access, or transfer access to a different email address, account, or individual, regardless of reason, including claims of convenience, preference, loss of access, or internal sharing. Ameribrights may, in its sole discretion, reissue access or correct contact information to address a verified clerical error or confirmed purchase, and any such correction does not permit sharing, transfer, or multi-user access.

Access to certain digital Content may be time-limited, and download links or access credentials may expire after a specified period. It is your responsibility to access, download, and retain purchased Content within any applicable access period.

Delivery of digital Content is deemed complete once access instructions, credentials, or download links are sent to the contact information you provided or otherwise made available to you.

Ameribrights may, in its discretion, provide access to Content outside of the Website, including by email, for example in connection with updates, bundle enhancements, replacements, promotions, or goodwill gestures. Any Content provided in this manner remains subject to these Terms, including all applicable license limitations and use restrictions, and does not grant any additional rights or additional access credentials.

Informal communications, inquiries, emails, or customer support interactions with Ameribrights do not modify these Terms or create any obligation to provide additional Content, updates, replacements, or continued access unless expressly agreed by Ameribrights in writing.

6.2 Account-Based Access and User Responsibility 

Certain Content may be provided through account-based access, login links, or interactive or access-controlled tools, including without limitation essay grading tools, calculators, or other features that require authentication. Access to such Content is provided only to the User associated with the applicable purchase or authorization.

You are responsible for maintaining the confidentiality and security of any account credentials, access links, or login information associated with your access to the Content and for all activity that occurs under your account or using your credentials. You may not share, transfer, sublicense, or permit others to use your access credentials.

You are solely responsible for maintaining the devices, software, and internet connectivity necessary to access the Content. Ameribrights is not responsible for issues arising from your equipment, software, internet service, security settings, or technical limitations.

Ameribrights may suspend or terminate access if it suspects credential sharing, unauthorized access, misuse of account-based Content, or other violations of these Terms.

7. Fees; Payment Terms; No Refunds

Content may require payment. All prices and applicable charges will be disclosed to you at the time of purchase before you complete a transaction.

By submitting payment information, you represent and warrant that you are authorized to use the selected payment method and you authorize Ameribrights and its Payment Provider to charge your payment method for the full amount of the transaction, including any applicable taxes and fees. Ameribrights may require payment confirmation, including fraud screening or successful authorization, before providing access to any Content, delivery links, or account credentials. Certain payment methods or financing options may require you to be at least eighteen (18) years of age, as determined by the applicable Payment Provider.

Ameribrights reserves the right to modify pricing, Content offerings, or availability at any time. Price changes will not apply retroactively to purchases already completed.

7.1 No Refunds.

All sales are final once access to Content is provided, including through an email delivery link, account access, or other digital means.

Due to the nature of the Content offered, including immediate access to digital materials and tools, all sales are final and non-refundable, except where required by applicable law or where Ameribrights agrees otherwise in writing.

You are responsible for any fees, interest, penalties, or other charges imposed by your bank, credit card issuer, or payment provider, including any installment-based or deferred payment provider (such as Klarna). Ameribrights is not responsible for such third-party charges. Refund or dispute policies of third-party payment providers do not override Ameribrights’ refund policy.

If access to Content is provided in connection with a separate written agreement between Ameribrights and an educational institution or other organization, the payment terms applicable to such access will be governed by that agreement to the extent expressly stated therein and only to the extent of any direct conflict with this Section 7.

7.2 Third-Party Financing and Student Loan Products

Ameribrights does not provide student loans, credit, financing, or lending services. Any financing options, payment plans, student loan products, or similar financial services that may be referenced, linked, or made available in connection with the Content are offered and administered solely by third-party providers.

Ameribrights is not a lender, loan broker, loan servicer, credit decision-maker, or financial institution, and does not originate, underwrite, approve, or service any loans or credit products. All terms, conditions, eligibility requirements, fees, repayment obligations, and dispute resolution provisions related to any such financial products are determined solely by the applicable third-party provider and governed by separate agreements between you and that provider.

Your decision to apply for or use any third-party financing or student loan product is voluntary and at your sole discretion. Ameribrights does not endorse, guarantee, or assume responsibility for any third-party financial products or services and is not liable for any losses, damages, or disputes arising from your use of or reliance on such products or services.

7.3 Chargebacks; Payment Disputes

Nothing in this Section 7 limits your right to dispute unauthorized charges or legitimate billing errors.

You agree not to initiate a chargeback, payment reversal, or payment dispute for any transaction except in cases of unauthorized use or billing error. If you believe there is an issue with a charge, you agree to contact Ameribrights at support@ameribrights.com and provide a reasonable opportunity to review and respond before initiating a chargeback.

If you initiate a chargeback or payment reversal in violation of these Terms, Ameribrights may, in its discretion:

  • Suspend or terminate your access to the Content;
  • Reject or cancel future purchases; and
  • Pursue recovery of amounts owed and costs incurred as a result of such chargeback.

An “improper” chargeback includes a chargeback initiated in bad faith, without contacting Ameribrights first where reasonable, or for Content that was delivered and accessed in accordance with these Terms.

Repeated or bad-faith improper chargebacks constitute a material breach of these Terms. To the extent permitted by law, Ameribrights may seek reimbursement for the amount of any improper chargeback, payment reversal, or related fees incurred by Ameribrights as a result of such conduct, including any fees assessed by a payment processor or financial institution and any reasonable costs incurred in recovering such amounts, including reasonable attorneys’ fees and collection costs. Initiating a chargeback does not relieve you of your payment obligations under these Terms. 

If access to Content was provided pursuant to a separate written agreement between Ameribrights and an educational institution or other organization, Ameribrights may suspend or terminate your individual access for chargeback-related misconduct, regardless of whether the institutional agreement remains in effect.

8. Intellectual Property; License; Use Restrictions

8.1 Ownership

All Content including without limitation its design, text, graphics, logos, icons, images, audio, video, downloads, calculators, tools, workflows, templates, guides, maps, and other materials, and all related intellectual property rights, are owned by Ameribrights or its licensors and are protected by copyright, trademark, trade dress, and other intellectual property laws. Except for the limited license expressly granted below, no rights are granted to you by implication, exhaustion, estoppel, or otherwise. You agree to respect the intellectual property rights of Ameribrights and of third parties whose content may be included in the Content.

8.2 Limited License to Users

Subject to your full and timely payment of all applicable fees (if any) and your continued compliance with these Terms, Ameribrights grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your personal use (and, for institutions, solely by Authorized Users to the extent permitted under a separate written agreement with Ameribrights). You may download and/or print a reasonable number of copies of digital Products only for your own personal use, provided you do not remove any proprietary notices.

All rights not expressly granted are reserved by Ameribrights.

8.3 Prohibited Uses

You may not, and you may not permit any third party to:

a) Copy, reproduce, distribute, share, publicly post, transmit, sell, resell, license, sublicense, rent, lease, lend, transfer, or otherwise make available any Content (or any portion thereof), including by posting on public or private forums, shared drives, messaging platforms, websites, repositories, social media platforms, or online communities;

b) Use any Content for any commercial purpose, or in any group, classroom, institutional, or organization-wide setting, except to the extent expressly authorized in a separate written agreement with Ameribrights;

c) Create derivative works from, translate, adapt, modify, annotate, summarize for distribution, or otherwise prepare works based on any Content (or any portion thereof), including creating or distributing outlines, answer keys, flashcards, decks, “study bots,” or similar materials based on Ameribrights materials;

d) Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices contained in or on the Content;

e) Access, scrape, crawl, harvest, or copy any portion of the Content using automated means (including bots, spiders, scrapers, or similar technologies), or attempt to bypass any access controls, paywalls, or technical restrictions; or 

f) Use our Content for the purpose of developing, training, or improving competing educational products or services.

We are a small team building original educational tools with significant time, care, and effort. If you become aware of unauthorized sharing, misuse, or exploitation of the Content, we would appreciate you letting us know so we can address it. We’d also appreciate if you would report such activity to the relevant platform or service involved, where appropriate.

8.4 AI and Automated Use Prohibited

You are strictly prohibited from uploading, inputting, scraping, reproducing, distributing, or using any Content (in whole or in part) to train, fine-tune, validate, evaluate, or improve any artificial intelligence system, machine learning model, large language model, or other automated content generation or analysis tool, whether for commercial or non-commercial purposes.

This includes use to create or contribute to datasets, corpora, embeddings, prompt libraries, or repositories, and use with chatbots, summarization tools, or automated study tools, except where such use is expressly authorized in writing by Ameribrights.

8.5 Competitor Restrictions

Without limiting Section 3 (Eligibility), any access to or use of the Content by a competitor of Ameribrights, or for competitive analysis, benchmarking, model training, or development of competing or substantially similar materials, constitutes a material breach of these Terms.

8.6 Materials Shared Outside the Website

Ameribrights may, in its discretion, provide Users with certain Content  outside the Website (for example, by email or direct message). Any such materials remain Content under these Terms and are subject to the same restrictions in this Section 8 unless Ameribrights expressly states otherwise in writing.

8.7 Enforcement; Remedies; Survival

Ameribrights reserves the right to investigate suspected violations of this Section 8 and to pursue all available remedies. In addition to any termination rights under Section 5, Ameribrights may suspend or revoke access to any Products or Services if it believes, in its sole discretion, that you have violated this Section 8.

In the event of a violation of this Section 8, Ameribrights may pursue all remedies available at law or in equity, including injunctive relief and recovery of damages. 

8.8 User Content 

By providing any User-Generated Content, you represent and warrant that you own or have obtained all necessary rights, permissions, and licenses to submit such content and that the content does not infringe, misappropriate, or otherwise violate the intellectual property, privacy, publicity, or other rights of any third party.

You agree not to submit any confidential, sensitive, or personally identifiable information through the Content unless Ameribrights expressly authorizes such submission in writing.

By submitting User-Generated Content, including Submissions, you grant Ameribrights a non-exclusive, worldwide, royalty-free, fully paid-up license to use, reproduce, store, analyze, adapt, and otherwise process such User-Generated Content solely for purposes of operating, maintaining, improving, developing, and enhancing the Content and related educational tools, including through aggregation, analysis, and AI-assisted or automated processes.

For clarity, Ameribrights’ rights under this Section 8 apply only to User-Generated Content submitted by you and do not grant you or any other user any rights to access, use, reproduce, upload, or exploit Ameribrights Content (including books, study guides, maps, or other Digital Materials) in connection with artificial intelligence systems, machine learning models, or automated tools.

Ameribrights may use User-Generated Content in aggregated or anonymized form and will not publicly attribute Submissions to you without your consent, except as required by law.

Any Feedback you provide is voluntary and non-confidential. You acknowledge and agree that Ameribrights may use, reproduce, modify, adapt, publish, distribute, and otherwise exploit such Feedback for any purpose, including commercial purposes, without obligation, attribution, or compensation to you.

The restrictions and obligations in this Section 8 survive termination of these Terms.

9. Copyright Infringement; DMCA Notice

If you believe that any Content infringes your copyright, you may submit a written notification to Ameribrights’ designated copyright agent with the information required by the Digital Millennium Copyright Act (“DMCA”), including:

  1. A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest;
  2. Identification of the copyrighted work claimed to have been infringed (or, if multiple works are covered, a representative list);
  3. Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material (such as the URL);
  4. Your contact information, including address, telephone number, and email address;
  5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner.

10. Third-Party Content and Links

The Content may contain references to, links to, or integrations with third-party websites, content, tools, products, or services that are not owned or controlled by Ameribrights (“Third-Party Content”). Ameribrights does not endorse and is not responsible for the availability, accuracy, content, policies, or practices of any third-party materials or services.

To the maximum extent permitted by applicable law, Ameribrights is not liable for any damages, losses, or claims arising from your use of or reliance on any Third-Party Content. Any transactions, dealings, or interactions between you and a third party are solely between you and that third party.

Ameribrights reserves the right to modify, remove, or disable access to Third-Party Content on the Website at any time, without notice.

11. Disclaimer of Warranties

THE CONTENT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMERIBRIGHTS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR AVAILABILITY.

AMERIBRIGHTS DOES NOT WARRANT THAT ACCESS TO ANY CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. AMERIBRIGHTS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, CURRENCY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INCLUDING ANY GUIDES, MAPS, CALCULATORS, TOOLS, OR OUTPUTS GENERATED THROUGH USE OF THE CONTENT.

AMERIBRIGHTS DOES NOT WARRANT OR GUARANTEE ANY PARTICULAR OUTCOME, RESULT, PERFORMANCE, SCORE, PASS RATE, ADMISSION, EMPLOYMENT, OR OTHER RESULT ARISING FROM OR RELATED TO YOUR USE OF THE CONTENT. USE OF THE CONTENT IS AT YOUR SOLE RISK, AND YOU ARE SOLELY RESPONSIBLE FOR HOW YOU INTERPRET, APPLY, OR RELY UPON ANY INFORMATION OR OUTPUTS PROVIDED.

ANY CONTENT PROVIDED OR DELIVERED OUTSIDE OF THE WEBSITE, INCLUDING BY EMAIL OR OTHER COMMUNICATIONS, IS PROVIDED SUBJECT TO THESE SAME DISCLAIMERS AND WITHOUT ANY ADDITIONAL WARRANTIES OR GUARANTEES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU. IN SUCH CASES, THE DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMERIBRIGHTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE CONTENT WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT AMERIBRIGHTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, AND CONSISTENT WITH THE DISCLAIMERS SET FORTH IN SECTION 11, AMERIBRIGHTS SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM OR RELATED TO YOUR USE OF OR RELIANCE ON THE CONTENT, INCLUDING ANY GUIDES, MAPS, CALCULATORS, TOOLS, OUTPUTS, OR MATERIALS PROVIDED OR DELIVERED OUTSIDE OF THE WEBSITE, INCLUDING BY EMAIL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF AMERIBRIGHTS FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR ACCESS TO OR USE OF THE CONTENT SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE TOTAL AMOUNT PAID BY YOU TO AMERIBRIGHTS FOR THE SPECIFIC PRODUCT(S) OR SERVICE(S) GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS SET FORTH IN THIS SECTION 12 APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, THE LIABILITY OF AMERIBRIGHTS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Ameribrights, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, actions, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your access to or use of the Content, your violation of these Terms, your misuse, sharing, redistribution, or unauthorized exploitation of any Content or User-Generated Content, or your violation of any applicable law or the rights of any third party, including intellectual property rights.

This indemnification obligation includes, without limitation, claims arising from or related to the unauthorized sharing, reproduction, distribution, resale, or use of Content, the use of Content in connection with artificial intelligence systems, automated tools, or model training in violation of these Terms, or any access to or use of the Content by third parties using your credentials or otherwise deriving access through you.

Ameribrights reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification under this Section, in which case you agree to cooperate fully with Ameribrights in asserting any available defenses. You may not settle any claim that imposes any obligation, admission of liability, or restriction on Ameribrights without Ameribrights’ prior written consent.

This indemnification obligation survives termination or expiration of these Terms and is in addition to, and not in limitation of, any other rights or remedies available to Ameribrights under these Terms or applicable law.

14. Not Legal or Professional Advice

The Content is provided for general informational and educational purposes only and does not constitute legal, financial, academic, or other professional advice. Ameribrights does not provide legal representation, legal opinions, or individualized professional advice through the Content. 

You acknowledge and agree that any reliance on the Content is at your own discretion and risk. If you require legal, financial, academic, or other professional advice, you should consult a qualified professional who is licensed or certified in the applicable field.

Nothing contained in the Content creates an attorney-client relationship, fiduciary relationship, or other professional relationship between you and Ameribrights.

14.1 No Affiliation or Endorsement 

Ameribrights is an independent educational company. Ameribrights is not affiliated with, endorsed by, or sponsored by the Florida Board of Bar Examiners, the National Conference of Bar Examiners (NCBE), The Florida Bar, AmeriBar, Barbri, Adaptibar, or any other bar examination authority, regulator, or commercial bar preparation provider. References to bar examinations, rules, topics, testing formats, or historical testing trends are for educational and informational purposes only, and all trademarks, service marks, and names referenced remain the property of their respective owners.

15. No Third-Party Beneficiaries

These Terms are entered into solely between you and Ameribrights. Nothing in these Terms is intended to, or shall be deemed to, confer any rights, benefits, or remedies on any third party, including without limitation students, educational institutions, instructors, affiliates, partners, licensors, payment processors, third-party service providers, or any other person or entity.

No third party shall have any right to enforce or rely upon any provision of these Terms, whether as a third-party beneficiary or otherwise. Your access to or use of the Content does not create any contractual, fiduciary, or other legal relationship between Ameribrights and any third party.

For clarity, where access to the Content is provided through or in connection with an educational institution or other organization, such access does not grant any authorized user third-party beneficiary rights under these Terms. Any separate agreement between Ameribrights and a third party, including an educational institution, governs only the relationship between those parties and does not alter or expand the rights or obligations set forth in these Terms.

16. Arbitration and Class Action Waiver 

ANY AND ALL DISPUTES, CLAIMS, OR CAUSES OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR ACCESS TO OR USE OF THE CONTENT (EACH, A “DISPUTE”) SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES THEN IN EFFECT. THE ARBITRATION SHALL TAKE PLACE IN MONTGOMERY, ALABAMA, OR AT SUCH OTHER LOCATION AS DETERMINED IN ACCORDANCE WITH THE AAA CONSUMER ARBITRATION RULES, AND MAY BE CONDUCTED REMOTELY WHERE PERMITTED BY THOSE RULES. YOU IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE CONTENT.

YOU AGREE THAT ANY DISPUTE SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. CLASS ACTIONS, CLASS ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATED PROCEEDINGS ARE NOT PERMITTED. UNLESS AMERIBRIGHTS EXPRESSLY AGREES OTHERWISE IN WRITING, THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR TO PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO SEEK OR RECOVER PUNITIVE OR EXEMPLARY DAMAGES, AND THE ARBITRATOR MAY AWARD ONLY THOSE DAMAGES THAT ARE PERMITTED UNDER APPLICABLE LAW AND CONSISTENT WITH THESE TERMS.

YOU AGREE THAT ANY DISPUTE MUST BE INITIATED BY FILING A DEMAND FOR ARBITRATION WITHIN ONE (1) YEAR AFTER THE DISPUTE FIRST ARISES, OR SUCH DISPUTE MAY BE BARRED TO THE FULLEST EXTENT PERMITTED BY LAW. THE ARBITRATION PROCEEDINGS, INCLUDING ALL FILINGS, TESTIMONY, EVIDENCE, AND THE ARBITRATOR’S DECISION, SHALL BE TREATED AS CONFIDENTIAL TO THE EXTENT PERMITTED BY LAW. JUDGMENT ON THE ARBITRATION AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. NOTHING IN THIS SECTION 16 SHALL PREVENT AMERIBRIGHTS FROM SEEKING TEMPORARY OR PRELIMINARY INJUNCTIVE RELIEF IN A COURT OF COMPETENT JURISDICTION TO PROTECT ITS INTELLECTUAL PROPERTY RIGHTS OR TO PREVENT UNAUTHORIZED USE, DISTRIBUTION, OR EXPLOITATION OF THE CONTENT. YOU ACKNOWLEDGE AND AGREE THAT AMERIBRIGHTS WOULD NOT PERMIT ACCESS TO OR USE OF THE CONTENT ABSENT YOUR AGREEMENT TO THIS ARBITRATION AND CLASS ACTION WAIVER.

17. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict of laws principles.

18. Miscellaneous

Ameribrights may assign or delegate these Terms, including by operation of law, in whole or in part, at any time and without notice or your consent. You may not assign or delegate any rights or obligations under these Terms without the prior written consent of Ameribrights, and any attempted assignment or delegation in violation of this Section 18 shall be null and void.

These Terms constitute the entire agreement between you and Ameribrights regarding your access to and use of the Content and supersede all prior or contemporaneous agreements, communications, or understandings, whether oral or written, relating thereto. For clarity, any separate written agreement executed between Ameribrights and a third party, including an educational institution, governs only the relationship between those parties and does not modify these Terms as applied to individual users. 

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No failure or delay by Ameribrights in exercising any right, power, or remedy under these Terms shall operate as a waiver of such right, power, or remedy. Any waiver must be expressly made in writing by Ameribrights to be effective.

The provisions of these Terms which by their nature should survive termination, including without limitation provisions relating to intellectual property, access restrictions, disclaimers, limitation of liability, indemnification, arbitration, and governing law, shall survive any termination or expiration of these Terms.

Headings are included for convenience only and shall not affect the interpretation of these Terms.

19. Electronic Communications  

By using the Content or providing your email address, you consent to receive communications from Ameribrights electronically, including notices about purchases, delivery, updates, policy changes, and other account-related communications. Notices are effective when sent to the email address you provided.

Appendix A: Digital Products 

This Appendix applies to Products offered by Ameribrights in digital form, including books, study guides, maps, written materials, bundled materials, updates, replacements, and similar resources.

Such Products are Content under these Terms and remain fully subject to all applicable provisions of the Terms, including without limitation Sections 6 (Access and Delivery), 7 (Fees and Payment Terms), and 8 (Intellectual Property; License; Use Restrictions).

This Appendix is provided solely for clarity and convenience. It does not create any additional rights, licenses, or limitations beyond those already set forth in the Terms and is intended to be read together with, and not independently from, the Terms.

Permitted Use

Upon purchase or other authorized access, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use such Products solely for your personal, individual use, subject to these Terms.

You may download such Products for personal use and may print a reasonable number of copies for personal reference, provided that all proprietary notices remain intact. Access methods, download links, or credentials may be time-limited and may expire as described in Section 6 of the Terms.

Prohibited Uses and Copyright

You may not, and you may not permit any third party to:

  • Share, distribute, resell, sublicense, lease, lend, transfer, or otherwise make available any such Products to any other person or entity, including through shared drives, messaging platforms, private or invite-only groups, forums, websites, repositories, or social media platforms;
  • Upload, input, copy, recreate, transcribe, summarize, adapt, or convert any such Products (in whole or in part) into flashcards, quizzes, question banks, outlines, study sets, decks, or similar learning aids, whether for personal sharing or broader distribution, including through platforms such as Quizlet, Anki, Brainscape, Notion, Google Docs, learning management systems, or similar tools;
  • Use such Products for any commercial purpose, group use, classroom use, institutional use, or organization-wide use, except as expressly authorized in a separate written agreement with Ameribrights;
  • Modify, adapt, translate, annotate, summarize for distribution, or create derivative works based on such Products, in whole or in part;
  • Remove, obscure, or alter any copyright, trademark, watermark, or other proprietary notices contained in or on such Products;
  • Use such Products in connection with any artificial intelligence system, automated tool, dataset, or model training process, except as expressly authorized in writing by Ameribrights.

Ameribrights retains all right, title, and interest in and to such Products, including all associated intellectual property rights. You do not acquire any ownership interest in such Products; you receive only the limited license expressly granted under these Terms.

Unauthorized use, sharing, conversion, or distribution of such Products constitutes a material breach of these Terms and may result in termination of access and all available remedies under applicable law.

Disclaimer of Warranties

All disclaimers of warranties and limitations of liability set forth in Sections 11 and 12 of the Terms apply fully to such Products.
